Agreement
By accessing umeonline365.com or using our ERP software and services, you agree to these Terms of Service. If you do not agree, please do not use our platform.
These terms apply to all visitors, users and clients of UME Online 365 and U+Me Online 360, operated from Abu Dhabi, United Arab Emirates.
Services Description
UME Online 365 provides:
- Custom ERP software development (procurement, logistics, HR, dashboards)
- Self-hosted software deployment and configuration
- Technical support and maintenance services
- Business automation consulting
All software is delivered as custom-built solutions. We are not a SaaS provider and do not operate shared cloud platforms for client data.
Acceptable Use
When using our website or ERP platform, you agree to:
- Use the platform only for lawful business purposes
- Not attempt to unauthorised access, penetration testing or reverse engineering
- Not upload malicious code, scripts or harmful content
- Not use the platform for spam, fraud or any illegal activity
- Maintain the confidentiality of your access credentials
Intellectual Property
The UME Online 365 codebase, design, branding and documentation are proprietary. Unless otherwise agreed in writing:
- Custom-built software delivered to clients is licensed for their use, not for resale or redistribution
- Our codebase, templates and frameworks remain the intellectual property of U+Me Online 360
- You may not copy, resell or create derivative products from our software without written permission
Project Engagements
For custom development projects, specific terms are agreed in a separate Statement of Work (SOW). Generally:
- Project scope, timeline and payment terms are defined before work begins
- Changes to scope may require revised timeline or additional cost
- Hosting, domain and third-party API costs are the client's responsibility
- Testing and UAT is the client's responsibility before sign-off
- Post-delivery support terms are agreed separately
Limitation of Liability
U+Me Online 360 is not liable for:
- Business decisions made using data from our software
- Data loss resulting from server failures outside our control
- Service interruptions caused by third-party hosting providers
- Losses arising from unauthorised access due to weak client-managed credentials
Our total liability for any claim is limited to the value of services paid in the 3 months preceding the claim.
Governing Law
These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the competent courts of Abu Dhabi, UAE.
